Website in a Day Terms and Conditions

This agreement (the “Agreement”) is made between the “Client” and the “Designer.” The “Designer” is Mary Philip and the “Client” is the business or sole trader choosing to work with Mary Philip. In consideration of the mutual agreement made herein, both parties agree as follows:
 
Work: The Designer agrees to produce project materials (the “Work”) at the request of the client for fees agreed upon in advance and delivery of the Work by an agreed-upon deadline. Designer agrees to be the sole author of the Work, which will be original work and free of plagiarism. Designer will cooperate with Client in editing and otherwise reviewing the Work prior to completion and launch.
 
Confidentiality: Designer acknowledges that she may receive or have access to information which relates to the Client’s past, present, or future products, vendor lists, creative works, marketing strategies, pending projects/proposals, and other proprietary information. Designer agrees to protect the confidentiality of the Client’s proprietary information and all physical forms thereof, whether disclosed to Designer before this Agreement is signed or afterward. Unless strict confidentiality is requested by Client in advance of the establishment of this contract, Designer can display materials and final work created for Client on the Designer’s website (www.maryphilip.com).

Deadlines: Client agrees to provide Designer with everything needed to complete the project including text, images and other information as and the Designer needs it, and in the format asked for. Client agree to review work, provide feedback and sign-off approval in a timely manner too. Deadlines work two ways and you will also be bound by any dates that are set together. If the Client misses deadlines without 72 hours written notice, via email, 20% of the project quote will be added to the final invoice each time. Client also agree to stick to the payment schedule set out at the end of this contract.
 
Compensation: Client agrees to pay Designer 100% of the total project cost before any services are provided, or if it involves more time than estimated, Designer will inform Client and they can renegotiate the Work’s cost. The Client will not treat Designer as an employee for any purpose.
 
Client Approval: Upon acceptance of the Work, Client accepts responsibility for any further processes in which this work is used (e.g. film outpost, printing, etc.) Designer is not responsible for errors occurring in this work, with Squarespace or projects related to this work after acceptance of the Work by the Client.
 
Cancellation: Both parties understand that Client or Designer may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written cancellation, Client is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by Designer. Should Client cancel the project following its completion, Client is responsible for full payment as per the agreed upon estimate plus all expenses incurred. In the event of cancellation, Designer retains ownership of all copyrights and original work created.

Acceptance of Terms: Client promises to pay for the services rendered by Designer for the Work as agreed upon. By agreeing to these conditions, Client agrees they have read, understood, and are considered legally bonded to these terms.

If the parameters of the Work change, or if it involves more time than estimated, Designer will inform Client and they can renegotiate the Work’s cost. The Client will not treat Designer as an employee for any purpose.

Support Terms and Conditions

Client also agree to stick to the payment schedule. This is a monthly subscription that is paid on the same day of the original sign up.

Support: Client recognises that the Designer is not an employee of theirs and that the support service is under the Designer’s working hours (Monday to Friday, 9am to 5:30pm GMT) and support is not compulsory out with those hours. Client agrees to give 30 days email notice when cancelling and failure to do so will result in an extra month’s charge. Client recognises that the Designer does not accept verbal or written abuse and any examples of this will result in the Designer’s right to cancel the support immediately without reimbursement.
 
Compensation: Client agrees to pay Designer the full cost for the month upfront. Client also agree to stick to the payment schedule. This is a monthly subscription that is paid on the same day of the original sign up.

If the parameters of the Work change, or if it involves more time than estimated, Designer will inform Client and they can renegotiate the Work’s cost and subscription. The Client will not treat Designer as an employee for any purpose.

Upon written email cancellation, Client is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by Designer. Should Client cancel the project following its completion, Client is responsible for full payment as per the agreed upon subscription plus all expenses incurred. In the event of cancellation, Designer retains ownership of all copyrights and original work created.
